I.
\n<\/span><\/span><\/b>General information<\/span><\/b><\/h1>\n

The operator of
\nthe PADTHAI WOKSTAR application (hereinafter: Application) is R.T.B. \u00c9tterem \u00a0Korl\u00e1tolt
\nFelel\u0151ss\u00e9g\u0171 T\u00e1rsas\u00e1g (registered office: 1122 Budapest, B\u00edr\u00f3 utca 7., company
\nregistration number: 01-09-201806, tax number: 24103114-2-43, contact:
\nsupport@sandbox.sandbox.padthaiwokbar.com) (hereinafter: Operator).<\/span><\/p>\n

The server
\nservice is provided by DEEPBLUE System Informatikai Szolg\u00e1ltat\u00f3 Korl\u00e1tolt
\nFelel\u0151ss\u00e9g\u0171 T\u00e1rsas\u00e1g (registered office: 1064 Budapest, V\u00f6r\u00f6smarty utca 67; company
\nregistration number: 01-09-874425, tax number: 13810380-2-42) (hereinafter
\nreferred to as the “Server Provider”).<\/span><\/p>\n

When accessing
\nand using the Application, the User shall fully comply with the applicable laws
\nand the provisions of the applicable GTC. <\/span><\/p>\n

II.
\n<\/span><\/span><\/b>Definitions <\/span><\/b><\/h1>\n

a)
\n<\/span><\/span>Data: any data, facts or information
\nprovided by Users to the Operator in connection with the Advertisements in the
\ncontext of the Contract, excluding personal data provided by Users.<\/span><\/p>\n

b)
\n<\/span><\/span>Database: database created by the Operator
\nin the course of the data management process, which is considered a database
\naccording to the Act.<\/span><\/p>\n

c)
\n<\/span><\/span>Privacy Policy: the Operator’s policy
\non the handling, protection and destruction of personal data provided by Users,
\nin accordance with the applicable European Union and Hungarian legislation.<\/span><\/p>\n

d)
\n<\/span><\/span>Application: indicates the PADTHAI WOKSTAR
\nApplication.<\/span><\/p>\n

e)<\/span>App
\nStore<\/span> : Google Play and App Store.<\/span><\/p>\n

f)
\n<\/span><\/span>VAT: The value added tax in force in
\nHungary at any given time.<\/span><\/p>\n

g)
\n<\/span><\/span>Ekertv.: Act CVIII of 2001 on certain
\naspects of electronic commerce services and information society services.<\/span><\/p>\n

h)
\n<\/span><\/span>Electronic Invoice: an electronic
\ninvoice issued in accordance with the provisions of Act CXXVII of 2007 on Value
\nAdded Tax.<\/span><\/p>\n

i)
\n<\/span><\/span>Menu: the set of products available in
\nthe App, which can be purchased or redeemed for Loyalty Points.<\/span><\/p>\n

j)
\n<\/span><\/span>Restaurant or Restaurants: restaurants
\noperated by the Padthai Group<\/span><\/p>\n

k)
\n<\/span><\/span>Parties: the Operator and the User
\ncollectively.<\/span><\/p>\n

l)
\n<\/span><\/span>User: means a natural or non-natural
\nperson who has a User Account under these GTC.<\/span><\/p>\n

m)
\n<\/span><\/span>User Account: the User’s profile with a
\nunique e-mail address and telephone number that provides access to the services
\nof the Application. <\/span><\/p>\n

n)
\n<\/span><\/span>Delivery: home delivery according to X.
\n5.1.<\/span><\/p>\n

o)
\n<\/span><\/span>Cart: a function to aggregate and
\nreview the product or products selected from the Menu and finalise the Order.<\/span><\/p>\n

p)
\n<\/span><\/span>Padthai or Padthai group of companies:
\nindicates the Operator, Padthai Holding Ltd. and all its affiliated companies.<\/span><\/p>\n

q)
\n<\/span><\/span>Points or Loyalty Points: points earned
\nthrough the Padthai Loyalty programme<\/span><\/p>\n

r)
\n<\/span><\/span>Registration: create a User Account in
\nthe application.<\/span><\/p>\n

s)
\n<\/span><\/span>Registrant: a natural or non-natural
\nperson who initiates the registration process but is not yet a User and does
\nnot yet have a User Account.<\/span><\/p>\n

t)
\n<\/span><\/span>Order: a purchase finalized by the User
\nthrough the Application interface for a product or products available on the
\nMenu, by paying the fee specified in the Cart and\/or by redeeming a Loyalty
\nPoint.<\/span><\/p>\n

III.
\n<\/span><\/span><\/b>Terms of Use<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>By registering for the Application, the
\nUser accepts the provisions of the applicable GTC and the applicable Privacy
\nPolicy. If the User does not accept the provisions of the current GTC or the User
\nPrivacy Policy, the User is not entitled to register and use the Application.<\/span><\/p>\n

2.
\n<\/span><\/span>The interpretation and application of these
\nGTC shall be governed by Hungarian law. The Users of the Application expressly
\nconsent to the exclusive jurisdiction of the authorities and courts of the
\nplace of establishment of the Operator in disputes under Hungarian law. <\/span><\/p>\n

IV.
\n<\/span><\/span><\/b>Intellectual property<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The Padthai group of companies is the
\nowner of the Application and all related trademarks, copyrights and other
\nintellectual property, whether registered or unregistered (collectively, the
\n“Intellectual Property”). Users are entitled to use the Application
\nwith full respect for the Intellectual Property. <\/span><\/p>\n

2.
\n<\/span><\/span>Intellectual Property includes in
\nparticular, but not limited to, all software, trademarks, logos, logotypes,
\nbrand names, trade names, photographs, text, graphics, illustrations, colour
\nschemes, product names, databases. <\/span><\/p>\n

3.
\n<\/span><\/span>Any infringement of Intellectual
\nProperty, such as infringing, copying, reproducing, adapting, unauthorized use,
\ntransfer, encumbering, or disposing of it in any way is strictly prohibited. \u00a0<\/span><\/p>\n

4.
\n<\/span><\/span>Any violation of these provisions, in
\naddition to the immediate termination of the possibility to use the Application,
\nshall result in the Operator and\/or other holders of Intellectual Property
\nrights taking appropriate legal action, including possible criminal action,
\nagainst the User or any other person who infringes.<\/span><\/p>\n

5.
\n<\/span><\/span>A User may be deleted from the
\nApplication database without prior notice if he\/she:<\/span><\/p>\n

a.
\n<\/span><\/span>infringes the Operator’s moral rights
\nor other rights, the rights of the Padthai Group of Companies under Act LXXVI
\nof 1999 on Copyright, infringes the rights under Act CII of 2003 amending
\ncertain industrial property and copyright acts., and\/or any Intellectual
\nProperty Rights or any other legal provisions by the content shared by the Operator
\non any platform,<\/span><\/p>\n

b.
\n<\/span><\/span>\u00a0display commercial, business-related
\nadvertisements (so-called spam) through the Application or through messages
\nshared with your User Account, your account on any other platform or the community
\nwith User Accounts on the Application in connection with the Application, <\/span><\/p>\n

c.
\n<\/span><\/span>harass, intimidate or defame other
\nUsers through your User Account or any other messages shared through the App, <\/span><\/p>\n

d.
\n<\/span><\/span>distribute, copy, modify, adapt, copy
\nin whole or in part, or otherwise infringe, copy, misappropriate, or misuse the
\nApplication in any way,<\/span><\/p>\n

e.
\n<\/span><\/span>makes unauthorised use of the
\ntrademarks, slogans and trade names of the Application, the Padthai Group (in
\nparticular, but not limited to, Padthai Wokbar, Wok2go, PADTEA, WOKSTAR,
\nTomtom, We make your day) and Padthai Group’s contractual partners,<\/span><\/p>\n

f.
\n<\/span><\/span>harm the Application in any way (e.g.,
\nthrough software or telecommunications equipment)<\/span><\/p>\n

g.
\n<\/span><\/span>\u00a0otherwise breaches any of the terms of
\nthese GTC.<\/span><\/p>\n

V.
\n<\/span><\/span><\/b>Using the Application<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The Application is free to download and
\nfree to register for and create a User Account. <\/span><\/p>\n

2.
\n<\/span><\/span>The data traffic operator may charge a
\nseparate fee for downloading and using the Application. Any costs incurred in
\nthis connection shall be borne by the User. <\/span><\/p>\n

3.
\n<\/span><\/span>Only registered Users are entitled to use
\nthe Application.<\/span><\/p>\n

4.
\n<\/span><\/span>The Operator may modify these GTC and
\nthe operation of the Application or terminate the operation of the Application at
\nany time without prior notice to the User. <\/span><\/p>\n

5.
\n<\/span><\/span>Access to the Application may be
\nwithdrawn by the Operator at any time, either for a specific User or more
\ngenerally or in its entirety, without prior notice or warning.<\/span><\/p>\n

VI.
\n<\/span><\/span><\/b>Liability rules<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The Operator shall not be liable in any
\nway in the event of external, so-called SQL attacks against the Application or
\nthe server running it.\u00a0 If, as a result of an attack on the Application or the
\nserver, the User is unable to access the Application, the User receives
\nincorrect system messages when using the Application, or any of the User’s
\nrecorded data, order history or loyalty points are lost as a result of external
\nattacks, the Operator shall not be liable for such cases. <\/span><\/p>\n

2.
\n<\/span><\/span>The Operator reserves the right to
\nexclude any User from the Application with immediate effect if it detects or
\nhas reasonable grounds to suspect any manipulation, mass downloading, or any
\nconduct incompatible with or in breach of the spirit of the Application.<\/span><\/p>\n

3.
\n<\/span><\/span>Changes to the database related to the
\nApplication may only be made by the Operator. <\/span><\/p>\n

4.
\n<\/span><\/span>Any interference by any external means
\nnot available as part of the Application will result in the immediate exclusion
\nof the User. <\/span><\/p>\n

5.
\n<\/span><\/span>If the User closes the Application
\nwhile using it, or if the connection (for any reason) with the Server Provider is
\nlost, the Operator shall not be liable for any loss of data.<\/span><\/p>\n

6.
\n<\/span><\/span>The Operator, who creates and
\nadministers the Application, will use all means at its disposal to ensure that
\nthe use of the Application is technically secure. The Operator shall not be
\nliable for any damages resulting from the connection to or the improper
\noperation of the Application, any loss of data due to possible Internet network
\ndowntime, path failure, any unexpected technical failure, computer virus or
\nother malicious attack targeting the Application. <\/span><\/p>\n

7.
\n<\/span><\/span>Users must always assess whether they
\nhave the necessary knowledge and technical requirements to use the Application.<\/span><\/p>\n

8.
\n<\/span><\/span>The Operator declares and undertakes to
\nensure an availability of 80% per year for the operation of the Application.
\nThe Operator shall not be liable for any downtime or other malfunctions within
\nthe limits of this clause, whether caused by the Operator, third parties or the
\nOperator’s partners. <\/span><\/p>\n

VII.
\n<\/span><\/span><\/b>User’s prohibited conduct<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>You may not download, store, use or
\nsell, by automated means or otherwise, all or any part of the content displayed
\non the Application or the Database (in whole or in part).<\/span><\/p>\n

2.
\n<\/span><\/span>You may not adapt or reverse engineer
\nthe content of the Application or any part of it.<\/span><\/p>\n

3.
\n<\/span><\/span>You must not use any application or
\nsoftware that allows you to modify or index the Application or any part of it
\n(e.g., a search engine or any other reverse-engineered application).<\/span><\/p>\n

4.
\n<\/span><\/span>The creation of User identifiers in a
\nway that is unfair and different from the purpose of the Application is
\nprohibited.<\/span><\/p>\n

5.
\n<\/span><\/span>You are prohibited from disclosing the
\nUser Account used in the Application to any third party.<\/span><\/p>\n

6.
\n<\/span><\/span>Insulting, offensive, aggressive,
\nvulgar, sexual, political, or otherwise immoral or significantly different from
\nwhat is expected and customary in everyday communication, communication
\nbehaviour or style is prohibited in oral or written communication with the
\nOperator, the Operator’s employees or the Operator’s contractual partners, as
\nwell as on any communication surface of the Application.<\/span><\/p>\n

7.
\n<\/span><\/span>In addition to the foregoing, any
\nconduct of the User that is not specified in this Section VII, but is expressly
\nset forth as prohibited or prohibited conduct in other provisions of the GTC,
\nis also prohibited.<\/span><\/p>\n

8.
\n<\/span><\/span>The Operator stipulates that in the
\nevent of the conduct set forth in this Section (VII.), the Operator is entitled
\nto delete the User from the Database without prior warning or reason and to
\nprohibit the User (based on his\/her\/it e-mail address and telephone number)
\nfrom re-registering. <\/span><\/p>\n

VIII.
\n<\/span><\/span><\/b>Technical requirements<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>Technical requirements for using the
\nApplication: <\/span><\/p>\n

a.
\n<\/span><\/span>For mobile phones running the Android
\noperating system, the latest publicly available Android operating system on 01
\nDecember 2024 or an operating system up to 4 major versions older.<\/span><\/p>\n

b.
\n<\/span><\/span>For mobile phones running the iOS operating
\nsystem, the latest publicly available iOS operating system on 01 December 2024
\nor 1 major version older. <\/span><\/p>\n

and
\na minimum of 120 MB of free storage space and sufficient bandwidth to access
\nthe Internet. The technical conditions for downloading and using the
\nApplication must be met by the User. The Operator cannot be held liable for
\nfailure to comply with the technical conditions.<\/span><\/p>\n

2.
\n<\/span><\/span>For IT security reasons, the App cannot
\nbe run on a rooted phone or a phone that does not have basic Google services.<\/span><\/p>\n

3.
\n<\/span><\/span>For IT security reasons, the Application
\nmay report an error when offline. <\/span><\/p>\n

4.
\n<\/span><\/span>The Operator shall not be held liable
\nfor any loss or corruption of data resulting from the use of the Application.
\nThe Operator shall not be liable for damages in connection with any data or
\ninformation provided or displayed by any external server connected to the
\nApplication.<\/span><\/p>\n

5.
\n<\/span><\/span>The Application can be used by
\ninstalling it, after registration. Installation is only permitted via Google
\nPlay or the Apple App Store. The Application will check for updates regularly,
\ndepending on the operating system running on your mobile phone. The Operator is
\nnot responsible for the operation of the App Store and the operating system.<\/span><\/p>\n

6.
\n<\/span><\/span>When replacing your mobile device, you
\nwill need to download the Application again. However, the new download does not
\nrequire re-registration, and the previous information stored in the Application
\nremains available after login. <\/span><\/p>\n

IX.
\n<\/span><\/span><\/b>Registration, access <\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The Application can only be used by
\nregistered Users, and only after Registration can an Order be placed and
\nLoyalty Points be collected\/used. After Registration, the User Account is
\ncreated. A User Account is created only after Registration through Application,
\nweb.sandbox.sandbox.padthaiwokbar.com or Loyalty.sandbox.sandbox.padthaiwokbar.com and can be used only through
\nthe Application.<\/span><\/p>\n

2.
\n<\/span><\/span>Registration requires the provision of
\npersonal data. Registration is only possible by providing the Registrant’s own personal
\ndata, i.e. registration on behalf of another person is strictly prohibited. <\/span><\/p>\n

3.
\n<\/span><\/span>Registrant to create a User Account on
\nthe App requires a free download of the PADTHAI WOKSTAR mobile app, which can
\nbe found in the App Stores. <\/span><\/p>\n

4.
\n<\/span><\/span>By entering the Application and
\nselecting the “Register\/Login” button, the Registrant can create a User
\nAccount by entering his\/her mobile phone number and accepting all the
\nprovisions of the GTC and the Privacy Policy. <\/span><\/p>\n

5.
\n<\/span><\/span>After entering your mobile phone number,
\nthe Registrant will receive a 5-digit verification code (hereinafter referred
\nto as the “Code”) by text message to the mobile phone number provided
\nby the Registrant, by clicking on the “Next” button to confirm the
\nmobile phone number.\u00a0 The Registrant will only be able to proceed with the Registration
\nby entering the Code. If the Registrant does not receive a Code, he\/she may
\nrequest a new Code or use the back arrow to change the mobile phone number
\nhe\/she has provided. <\/span><\/p>\n

6.
\n<\/span><\/span>Once the Registrant’s mobile phone
\nnumber has been verified, the User Account is created and the Registrant is
\nconsidered a User. However, to finalize the Registration, the User is still required
\nto provide his\/her year of birth and e-mail address, which will be managed by the
\nOperator for the purposes of contacting and sending the Electronic Invoice for
\npurchases.\u00a0 <\/span><\/p>\n

7.
\n<\/span><\/span>Users can then enter their first name,
\nsurname, month and date of birth. The data recorded in this section are not a
\nprerequisite for Registration, so the Registrant may finalize his\/her
\nRegistration by clicking on the “I Cancel” button.<\/span><\/p>\n

8.
\n<\/span><\/span>During the registration process, the Registrant
\nhas the possibility to subscribe to marketing messages (newsletters) sent by
\nthe Operator in the form of direct marketing enquiries by ticking the relevant
\nbox. However, subscription is not a condition of Registration. <\/span><\/p>\n

9.
\n<\/span><\/span>After finalising the Registration, the
\nApplication offers the User to enter his\/her delivery address and billing
\ndetails in his\/her User Account. If the User does not wish to provide any
\nfurther details, the Application will redirect the User to the home page by
\nclicking on the “Close” button.<\/span><\/p>\n

10.
\n<\/span><\/span>The User is solely responsible for the
\naccuracy, timeliness and truthfulness of the personal data provided during
\nregistration or at any time while using the Application or the Service. <\/span><\/p>\n

11.
\n<\/span><\/span>The Operator shall not be liable for
\nany damages resulting from unauthorised access to the Application. The User shall
\nnotify the Operator immediately if it is suspected that unauthorised persons
\nhave gained access to his User Account. <\/span><\/p>\n

Only
\none User Account can be associated with a phone number. Only one phone number
\ncan be verified for a User Account. A User is not entitled to change the
\ntelephone number associated with a User Account. \u00a0If a User wishes to register
\na new telephone number, he\/she can only do so during a new registration. <\/span><\/p>\n

12.
\n<\/span><\/span>If this is necessary for the fulfilment
\nof the Service, the Operator, the Partners or the delivery couriers will
\ncontact the User on the confirmed telephone number, and the Operator may
\nprovide information via SMS regarding the operation of the Application or the
\nstatus of the Order, delivery. <\/span><\/p>\n

13.
\n<\/span><\/span>The User may request the deletion of
\nhis\/her User Account at any time by clicking on the “Delete profile”
\nbutton under “Profile” “Personal data” and finally on the
\n“Delete my profile” button. You acknowledge that by deleting your User
\nAccount, you will lose all stored information including your loyalty points,
\norders, account settings, as explained later. The User acknowledges that the
\ndeletion of the User Account will delete only data and information stored and
\nmanaged by the Operator and that the deletion of the User Account does not
\nautomatically mean that the contractual partners used by the Operator or the
\ndata processors specified in the Privacy Policy under point XIV or the
\nrecipients of personal data will simultaneously delete all personal data of the
\nUser managed by them from their own registration systems. <\/span><\/p>\n

X.
\n<\/span><\/span><\/b>The Order <\/span><\/b>process<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The Operator stipulates that where the
\nGTC refer to Order <\/i>in capital letters, the Order as a process and the
\nOrder as the total of the products selected and paid for shall be understood. <\/span><\/p>\n

2.
\n<\/span><\/span>Orders can only be placed
\nelectronically via the Application. The Operator accepts Orders via the Application
\nonly from registered Users and only if the User has entered all the data
\nrequired for the Order. <\/span><\/p>\n

3.
\n<\/span><\/span>The Operator excludes all liability
\narising from the incorrectness, typographical error or failure to provide true
\nand correct information in the Application. The Operator shall not be liable
\nfor any delay or failure in the performance of the Contract or for any other
\nproblem or error caused by the User’s incorrect and\/or inaccurate data. <\/span><\/p>\n

Choosing a restaurant<\/span><\/u><\/p>\n

4.
\n<\/span><\/span>Users can start the Order process by
\nclicking on the “Order” icon on the home page. The User must then
\nchoose which Padthai restaurant to place his\/her order. The Application will
\nthen offer the User access to his\/her location data, if not previously provided
\nby the User, in order to see the distance (in kilometres) of each restaurant
\nfrom its current location. User can do this by selecting the “Allow”
\nbutton on the location data access request window that pops up when selecting
\nrestaurants. The user can then also choose from Padthai’s restaurants by
\ndistance. If the User selects the “Not now” button in the window
\nrequesting access to the location data, the function set out in this point will
\nnot be available to him\/her. The User can enable the location data later under
\nthe “Profile” menu or when placing a subsequent order. <\/span><\/p>\n

Ordering methods<\/span><\/u><\/p>\n

5.
\n<\/span><\/span>Once the User has specified the
\nRestaurant where he\/she wishes to place the Order, he\/she chooses whether to
\nconsume his\/her Order in the Restaurant, to collect it in the Restaurant or to
\nhave it delivered to his\/her home. <\/span><\/p>\n

5.1.<\/span>
\nIf the User selects the “Eat in a restaurant” icon, <\/span><\/p>\n

a)
\n<\/span><\/span>your Order will be prepared by the
\nRestaurant in the usual manner for consumption on the premises.<\/span><\/p>\n

b)
\n<\/span><\/span>You acknowledge that if you finalize your
\nOrder by selecting the “Eat in a Restaurant” option, the Application
\nwill use your current location data and list the Restaurants based on distance.
\n<\/span><\/p>\n

c)
\n<\/span><\/span>The User acknowledges that the
\nRestaurant selected by the User will start the execution (preparation) of the
\nOrder after the final screen including the Order ID number is displayed. <\/span><\/p>\n

d)
\n<\/span><\/span>If the User arrives at the Restaurant after
\nthe opening hours, the User will not be able to collect his\/her Order and the
\nRestaurant will not refund the purchase price of the Order. The User must
\nensure that he\/she is able to arrive at the Restaurant on time before finalising
\nthe Order, which is the sole responsibility of the User in all cases.<\/span><\/p>\n

e)
\n<\/span><\/span>If the User does not take delivery of
\nthe Order within 30 (thirty) minutes of its completion, the Order will be
\ndestroyed without replacement or refund of the purchase price.<\/span><\/p>\n

5.2.<\/span>If
\nthe User selects the “Pick up at the restaurant” icon, <\/span><\/p>\n

a)
\n<\/span><\/span>you must indicate the date of receipt
\nof the order. <\/span><\/p>\n

b)
\n<\/span><\/span>If the specified pick-up time is not
\navailable at the Restaurant, the User may continue with the Order by selecting
\nanother Restaurant or by setting a pick-up time that is allowed by the
\nApplication. <\/span><\/p>\n

c)
\n<\/span><\/span>The Application will allow the pick-up
\ntime if it does not write an error message for the specified time. In this
\ncase, the User can pick up the Order, packed and ready to go, at the Restaurant
\nat the time set by the User. <\/span><\/p>\n

d)
\n<\/span><\/span>Neither the Operator nor the Restaurant
\nshall be liable or liable for any compensation or damages if the Order is made
\navailable to the User within 40 (forty) minutes of the time indicated by the
\nUser. <\/span><\/p>\n

e)
\n<\/span><\/span>If the User does not take delivery of
\nthe Order within 40 (forty) minutes of its completion, the Order will be
\ndestroyed without replacement or refund of the purchase price.<\/span><\/p>\n

5.3.<\/span>If
\nthe User selects the “I want it delivered” icon<\/span><\/p>\n

a)
\n<\/span><\/span>the User shall provide the address to
\nwhich the Order is to be delivered.<\/span><\/p>\n

b)
\n<\/span><\/span>Users are free to choose from the delivery
\naddresses they have already recorded.<\/span><\/p>\n

c)
\n<\/span><\/span>The User acknowledges that the Delivery
\nwill be performed by the Operator’s contractual partner, Wolt Magyarorsz\u00e1g Kft.
\n(registered office: 1085 Budapest, Sal\u00e9trom utca 4. ground floor, company
\nregistration number: 01-09-322693, tax number: 26296702-2-42, registered with
\nthe Commercial Court of the Metropolitan Court of Budapest). <\/span><\/p>\n

d)
\n<\/span><\/span>The User acknowledges that the delivery
\nis subject to a fee, the amount of which is based on the distance between the
\nRestaurant and the delivery address. The basic delivery charge is HUF 800,
\nwhich includes a distance of 1 km, plus a distance charge of HUF 175 for each
\nadditional 500 metres. The total delivery fee is calculated automatically by
\nthe Application. The User will only see the total amount of the Delivery Fee in
\nthe Shopping Cart summary interface. <\/span><\/p>\n

e)
\n<\/span><\/span>The Operator reserves the right to
\nperform the Delivery with a partner other than the contractual partner
\nspecified in c) without prior notice to the User. <\/span><\/p>\n

f)
\n<\/span><\/span>The Operator reserves the right to change
\nthe rate and the method of determination of the Delivery Charge indicated in
\npoint d) without prior notice to the User.\u00a0 The User acknowledges that the
\nmodification of the Delivery Charge shall not entail any modification of the
\nprovisions of the GTC.<\/span><\/p>\n

g)
\n<\/span><\/span>The User acknowledges that the Operator
\nmay transfer certain personal data, such as name, delivery address, telephone
\nnumber, to the partner performing the Delivery for the purpose of the Delivery.
\nThe User may consult the detailed information on the
\nprocessing of his personal data in the “Profile” menu under
\n“Documents” \/ “Privacy Policy”. <\/span><\/p>\n

h)
\n<\/span><\/span>If the User does not take delivery of
\nthe Order at the address indicated by the User, the Order will not be refunded.<\/span><\/p>\n

Compilation
\nof the Cart<\/span><\/u><\/p>\n

6.
\n<\/span><\/span>The User is free to compile his or her
\nShopping Cart for the products indicated on the Menu. <\/span><\/p>\n

7.
\n<\/span><\/span>The prices and charges shown on the
\nMenu are in HUF gross.<\/span><\/p>\n

8.
\n<\/span><\/span>Certain products and\/or offers may not
\nbe available in all Restaurants and\/or for all Orders. The availability of
\nproducts and\/or offers may therefore vary from Restaurant to Restaurant and
\nfrom period to period (including time of day).<\/span><\/p>\n

9.
\n<\/span><\/span>The product and packaging images shown
\non the Menu are for illustrative purposes only and may not be the same as the
\nproduct or packaging covered by the Order.<\/span><\/p>\n

10.
\n<\/span><\/span>The user will find
\n“Compositions”, “Desserts” and “Drinks” in separate
\n“tabs” on the Menu. The User is not obliged to select products from
\nall “tabs” to finalise the Order. <\/span><\/p>\n

Finalise
\nyour order<\/span><\/u><\/p>\n

11.
\n<\/span><\/span>After the Cart has been created, the
\nUser is redirected to the Cart summary page, which is used to check the data,
\nby clicking on the \u201eCart\u201d icon. Here the User checks and finalizes the data
\nnecessary to finalize the Order (such as the delivery address and\/or the
\nselected restaurant and\/or the pick-up date).<\/span><\/p>\n

FastPass
\nservice <\/span><\/i><\/p>\n

12.
\n<\/span><\/span>The User has the possibility to use the
\n“FastPass” priority service by selecting the priority service on the Cart
\nsummary page. In the context of the priority service, the Operator’s system
\nprioritizes the User’s order in such a way that, in case of the “Eat in
\nRestaurant” order function, the User’s order will be prepared by the
\nPadthai restaurant in question, after the order has been processed.<\/span><\/p>\n

13.
\n<\/span><\/span>The User acknowledges that the FastPass
\npriority service is available only against the redemption of Loyalty Points. The
\nprice of the FastPass Priority Service will be determined within the
\nApplication at the time of finalising the Order.\u00a0 The Operator reserves the
\nright to change the rate of the Priority Service at any time without prior
\nnotice to the User. <\/span><\/p>\n

14.
\n<\/span><\/span>The Operator states that the time of
\narrival or the time of receipt is an estimate and does not assume any
\nresponsibility for the accuracy of the data. <\/span><\/p>\n

15.
\n<\/span><\/span>The Operator may change the terms and
\nconditions of the FastPass priority service or terminate the service at any
\ntime without prior notice to the User. <\/span><\/p>\n

WOKSTAR
\nLoyalty Points <\/span><\/i><\/p>\n

16.
\n<\/span><\/span>Users have the possibility to redeem
\nLoyalty Points received for previous orders on the Shopping Cart summary page.
\nThe User can view the number of Loyalty Points in the green bar at the top of
\nthe Shopping Cart Summary. If the User wishes to redeem Loyalty Points, he can
\ndo so by ticking the “Redeem Points” icon. The Application will then
\ndisplay how much the User’s Loyalty Points, expressed in HUF, reduce the value
\nof the order. <\/span><\/p>\n

17.
\n<\/span><\/span>The Operator confirms that Loyalty
\nPoints cannot be shared, the User is entitled to use them only in one. If the
\nvalue of the Order in Points is less than the number of User’s Loyalty Points,
\nthe User may continue to use the unused Loyalty Points in a subsequent Order.\u00a0 <\/span><\/p>\n

18.
\n<\/span><\/span>The User may refer to the detailed
\nrules of Loyalty Points, their use and the way of collecting them in Section
\nXIII of these GTC. <\/span><\/p>\n

XI.
\n<\/span><\/span><\/b>Payment of the Order<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>In the Shopping Cart summary interface,
\nthe User can pay for his Order by clicking on the “Pay” icon in one
\nof the following ways:<\/span><\/p>\n

a.
\n<\/span><\/span>One-click Payment: Apple Pay <\/i>(iOS)
\nor Google Pay (Android). <\/span><\/p>\n

b.
\n<\/span><\/span>Payment by credit card <\/span><\/p>\n

2.
\n<\/span><\/span>During the Bank Card payment, the User
\ncan choose to pay using his\/her previously saved bank card (in case of multiple
\nbank cards, the choice applies to all bank cards) or by adding a new bank card.
\n<\/span><\/p>\n

3.
\n<\/span><\/span>When using Apple Pay and Google Pay
\npayment methods, the payment option stored on the User’s phone is activated by Apple
\nPay or Google Pay. In this case, the User does not need to enter his card
\ndetails, as they are already stored in his Apple Pay or Google Pay wallet.<\/span><\/p>\n

4.
\n<\/span><\/span>The User can pay for his\/her Order
\nthrough the payment system embedded in the application of STRIPE, INC., (354
\nOyster Point Blvd, South San Francisco, California, United States, 94080,
\ncompany registration number 4675506, hereinafter referred to as STRIPE)
\napplication.\u00a0 The User acknowledges that his\/her card details are stored by
\nSTRIPE. The User acknowledges that he\/she accepts that STRIPE accepts the data
\nprocessing of the User.<\/span><\/p>\n

5.
\n<\/span><\/span>The User understands and accepts that
\nwhen providing the payment card, STRIPE may check whether it is valid and has
\nsufficient funds, and that the circumstances of the use of the credit card or Apple
\nPay or Google Pay do not indicate any fraud or abuse. If fraud or abuse is
\nsuspected, the Order and payment may be refused.<\/span><\/p>\n

6.
\n<\/span><\/span>By paying for the Order, the User
\ndeclares and warrants that he\/she has all legal rights to use the payment card and
\npayment method provided by him\/her.<\/span><\/p>\n

7.
\n<\/span><\/span>The Operator informs the User that
\nhe\/she has the possibility to correct any errors that may occur during the
\nelectronic recording of the data or to modify the data provided before pressing
\nthe “pay” button for the given Order.<\/span><\/p>\n

8.
\n<\/span><\/span>By clicking on the “pay”
\nbutton, the User expressly declares, accepts and acknowledges that he\/she is
\nplacing an order with payment and that the Order cannot be modified after
\npayment.<\/span><\/p>\n

9.
\n<\/span><\/span>The User may no longer cancel or
\nwithdraw from the paid Order, subject to Section 29 (1) c-d) of Government
\nDecree 45\/2014 (II.26), according to which the User may not exercise the right
\nof withdrawal in the following cases: c) in the case of goods that are not
\nprefabricated, that have been produced on the User’s instructions or at the User’s
\nexpress request, or in the case of goods that are clearly tailored to the
\nUser’s person; d) in the case of perishable goods or goods that retain their
\nquality for a short period of time.<\/span><\/p>\n

10.
\n<\/span><\/span>By clicking on the “pay”
\nbutton, the User authorizes the Operator and the Restaurant to process the
\norder. The Operator will process and charge the payment card involved in the Order.
\nUpon successful payment and acceptance of the Order, the User acquires
\nownership of the Order.<\/span><\/p>\n

11.
\n<\/span><\/span>After successful payment, the User will
\nreceive a confirmation message of the Order, which will include an order
\nidentification number.<\/span><\/p>\n

12.
\n<\/span><\/span>After the successful payment, the User can
\ndownload the electronic invoice related to the Order from the summary page. If
\nthe User wishes to download the invoice only later, he\/she can also do so under
\nProfile\/My Orders.<\/span><\/p>\n

13.
\n<\/span><\/span>After successful payment, the User will
\nautomatically be credited with Loyalty Points as set out in Section XIII. <\/span><\/p>\n

XII.
\n<\/span><\/span><\/b>Complaints, complaints, questions<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>Users should check the Order received
\nto ensure that it does indeed contain the products ordered, in the quantities
\nand composition ordered. If the User has a complaint about the quality,
\nquantity or any other aspect of the Order, he or she may in the first instance
\ncontact the Restaurant concerned by the Order.<\/span><\/p>\n

2.
\n<\/span><\/span>Users may submit their complaints to the
\nOperator electronically at <\/span>support@sandbox.sandbox.padthaiwokbar.com<\/span><\/a><\/span>
\nor by sending a letter by post to the address at B\u00edr\u00f3 utca 7, 1122 Budapest, Hungary.
\nThe Operator does not receive or handle complaints and objections by telephone.<\/span><\/p>\n

3.
\n<\/span><\/span>In response to written feedback, <\/span>the <\/span>Operator shall immediately investigate
\nand, if possible, immediately remedy the problem requiring immediate
\nresolution, but in the case of more complex questions or requests, the response
\nshall be provided within 30 days of receipt at the latest.<\/span><\/p>\n

4.
\n<\/span><\/span>If the User’s complaint is rejected in
\nwhole or in part, or if the time limit set above for the investigation of the
\ncomplaint has expired without result, the User may turn to the competent
\nauthorities of the User’s place of residence: <\/span><\/p>\n

\naction in the event of a dispute regarding the complaint.<\/span><\/p>\n

\n<\/span><\/span>The User is entitled to make a report
\nor complaint at any time through the contact points of the Operator indicated
\nin Section I of these GTC, if he\/she discovers illegal content during the use
\nof the Application. The Operator shall handle the report or complaint in
\naccordance with the provisions of this Chapter. The Operator may temporarily
\nsuspend the possibility of reporting or refuse to investigate a report of
\ncontent that the User considers to be unlawful or contrary to or in breach of the
\nGTC or the Operator’s internal rules on content moderation.<\/span><\/p>\n

7.
\n<\/span><\/span>The Operator is entitled to refuse to
\ninvestigate a notification made by the User, in particular in cases where the
\nUser has already submitted a notification with the same content and the
\nnotification has already been investigated by the Operator, or the notification
\nis clearly abusive or fictitious, or is manifestly not made in good faith (for
\nexample, the notification does not relate to the content as such, but to the
\npublisher of the content), or the notification lacks a basic statement of
\nreasons or facts supporting the notification which show why the content is
\nillegal or in <\/span>breach of the GTC and the Operator’s other<\/span>
\npolicies on content moderation. <\/span><\/p>\n

8.
\n<\/span><\/span>If you believe that your account has
\nbeen incorrectly or unauthorisedly debited, you should contact your bank
\nimmediately and update your password.<\/span><\/p>\n

XIII.
\n<\/span><\/span><\/b>WOKSTAR loyalty programme<\/span><\/b><\/h1>\n

1.
\n<\/span><\/span>The WOKSTAR
\nloyalty program is a points-based loyalty program, the essence of which is that
\nUsers can earn Loyalty Points by shopping in the Application or at Padthai Restaurants
\nand redeem them when placing an Order.\u00a0 \u00a0<\/span><\/p>\n

2.
\n<\/span><\/span>In any case, the collection and use of Points
\nin the Application is only possible if the User is logged in to his\/her User
\nAccount.<\/span><\/p>\n

3.
\n<\/span><\/span>Each registered User’s QR Code associated
\nwith their User Account is a uniquely generated and constantly changing
\nbarcode, which can be retrieved by clicking on the QR Code icon in the
\nApplication and identifies the User by a different two-dimensional barcode each
\ntime it is retrieved. <\/span><\/p>\n

Collecting
\npoints for orders <\/span><\/u>placed through the Application<\/span><\/u><\/p>\n

4.
\n<\/span><\/span>The User’s Loyalty Points are
\nautomatically credited to the User’s User Account after the Orders are placed.<\/span><\/p>\n

Points
\naccumulation for orders not placed via the Application<\/span><\/u><\/p>\n

5.
\n<\/span><\/span>Users can also earn Loyalty Points for
\norders placed outside the Application. It is important to note that in this
\ncase, the User will still need to log in to the Application to retrieve the
\nunique QR code. User can do this in two ways:<\/span><\/p>\n

a.
\n<\/span><\/span>The User personally – after placing an order
\nat the sales counter and before paying for the order – shows the unique QR code
\nto the salesperson, which is scanned by the cashier, thus logging the User into
\nhis\/her User Account, and the Loyalty Points related to the purchase are then
\nautomatically credited to the User’s User Account. <\/span><\/p>\n

b.
\n<\/span><\/span>The User scans the unique QR code at
\nthe order-taking column at the kiosk located in the Restaurant, logging into
\ntheir User Account, finalises the order and pays, after which Loyalty Points are
\nautomatically credited to the User’s User Account.<\/span><\/p>\n

c.
\n<\/span><\/span>\u00a0The User scans the QR code at the
\nbottom of the receipt received after paying at the kiosk or at the sales
\ncounter using the Application, after which the Loyalty Points are automatically
\ncredited to the User’s User Account. Importantly, by scanning the QR code on
\nthe receipt, Loyalty Points will only be credited to the User Account if and to
\nthe extent that the User scans it within 24 hours of the receipt being issued. The
\nQR code on the block can only be converted into Points once. <\/span><\/p>\n

Determination
\nof loyalty points<\/span><\/u><\/p>\n

6.
\n<\/span><\/span>The User can find out the number of Loyalty
\nPoints involved for each product by selecting the relevant product in the
\nApplication.<\/span><\/p>\n

7.
\n<\/span><\/span>Loyalty Point is equivalent to 15 HUF. The User is entitled to redeem a minimum of 75 Loyalty Points.<\/span><\/p>\n

8.
\n<\/span><\/span>The Operator reserves the right to
\nmodify the number of products and Loyalty Points awarded for each Registration,
\nthe structure of the points system and the redemption of points at any time
\nwithout prior notice. <\/span><\/p>\n

9.
\n<\/span><\/span>The Operator stipulates that the User’s
\nunused Points shall be automatically cancelled at 0:00 on 25 January of each
\nyear (hereinafter referred to as “Automatic Cancellation”), with the
\nperiod of time for which the Points may be used being not less than 4 months
\n(i.e. if the User has registered his\/her User Account within the 4 months
\npreceding the current Automatic Cancellation, the Points earned and not used by
\nhim\/her shall be reset to zero only in the year following the current Automatic
\nCancellation).<\/span><\/p>\n

10.
\n<\/span><\/span>The Operator confirms that the User
\nshall not be liable for any Loyalty Points lost due to the malfunction of the
\nApplication, and the User shall not be entitled to any credit or other
\ncompensation for any Loyalty Points lost as a result thereof. <\/span><\/p>\n

Redeem
\nyour Loyalty Points <\/span><\/u><\/p>\n

11.
\n<\/span><\/span>You acknowledge that you may redeem
\nLoyalty Points credited to your User Account by placing orders through the Application
\nat the Restaurant’s cashier and kiosks in accordance with the provisions of
\nClauses X.16 – 18 of these GTC.<\/span><\/p>\n

12.
\n<\/span><\/span>The Operator informs the User that, in
\nthe case of Restaurants where there is no or temporarily no internet service,
\nthe redemption of Loyalty Points cannot be validated by means of Orders placed
\nat the cashier or in the kiosks. <\/span><\/p>\n

\u00a0Abuse
\nof Loyalty Points <\/span><\/u><\/p>\n

13.
\n<\/span><\/span>The Operator shall be entitled to take
\naway the Points at any time if the Order has been returned for any reason and
\nthe purchase price has been refunded to the User in whole or in part. The same
\nshall apply to the exchange of Products, unless they are exchanged for Products
\nof the same Points Value.<\/span><\/p>\n

14.<\/span>In
\nthe event of a complaint regarding Loyalty Points, the User may request an
\ninvestigation of the case, together with the receipt\/electronic invoice, by sending
\nan e-mail to<\/span>
\nsupport@sandbox.sandbox.padthaiwokbar.com<\/span><\/a>. The complaint will
\nbe handled by the Operator. Details are available in the Privacy Policy.<\/span><\/p>\n

15.
\n<\/span><\/span>The Operator shall be entitled to take
\nany action it deems appropriate, including the removal or suspension of the
\nUser Account and the Points collected, if it detects any suspicious activity
\ninvolving the User’s User Account. Suspicious activity and its conditions shall
\nbe determined and applied by the Operator itself. Suspicious activity may
\ninclude in particular the following:<\/span><\/p>\n

a)<\/span>illegal
\nor bad faith activities;<\/span><\/p>\n

b)<\/span>providing
\nor attempting to provide false or misleading information, making false
\nstatements to the Operator or Restaurant; or<\/span><\/p>\n

c)<\/span>selling,
\ntransferring, assigning or acquiring, or offering to sell, transfer, assign or
\nacquire, any reward, benefit or Point in a manner not in accordance with these
\nTerms; or<\/span><\/p>\n

d)<\/span>Excessive
\npoint or point redemption (fraudulent or otherwise).<\/span><\/p>\n

14.
\n<\/span><\/span>The Operator and the Restaurants
\nreserve the right not to give or receive Points if they have reason to believe
\nthat the User has abused the Application or the Points.<\/span><\/p>\n

15.
\n<\/span><\/span>Upon deletion of a User Account, all Loyalty
\nPoints are immediately and irrevocably deleted. <\/span><\/p>\n

Daily Fortune Chest Game<\/strong>
\n<\/span><\/p>\n

16. As part of the Loyalty Program, the Operator provides a promotional mini-game available once per calendar day (hereinafter: Fortune Chest). The Fortune Chest is exclusively available within the Application and only to Users who are logged into their User Account. Each User is entitled to open the Fortune Chest once per calendar day.
\n<\/span><\/p>\n

17. Opening the Fortune Chest is conditional upon the User enabling push notifications for the Application. If the User disables or withdraws consent to receive push notifications, the Fortune Chest cannot be opened.
\n<\/span><\/p>\n

18. By opening the Fortune Chest, the User may win Loyalty Points according to the probability distribution set out below:
\n\u25e6 1 Loyalty Point \u2013 50% chance
\n\u25e6 2 Loyalty Points \u2013 35% chance
\n\u25e6 3 Loyalty Points \u2013 15% chance
\n<\/span><\/p>\n

19. The result of the Fortune Chest opening is automatically and immediately credited to the User\u2019s Account. The outcome of the Fortune Chest cannot be disputed and the game cannot be replayed under any circumstances.
\n<\/span><\/p>\n

20. The Operator reserves the right to modify the availability, operation, the probability rates and\/or the number of Loyalty Points awarded through the Fortune Chest at any time without prior notice, or to temporarily or permanently suspend the service.
\n<\/span><\/p>\n

21. The User acknowledges that the Fortune Chest is provided solely for entertainment and promotional purposes. Loyalty Points awarded through the Fortune Chest do not constitute gambling winnings, cannot be exchanged for cash, and no legal claim may be asserted in connection with the availability, functioning, or outcome of the Fortune Chest.<\/span><\/p>\n

XIV.
\n<\/span><\/span><\/b>Data protection<\/span><\/b><\/h1>\n

The Operator
\ndeclares that it respects the personal data of the Users and takes care of
\ntheir protection. By using the Application, the User acknowledges its use in
\naccordance with these GTC and the Privacy Policy. The User can view the
\ndetailed information on the processing of his\/her personal data in the
\n“Documents” \/ “Privacy Policy” section of the
\n“Profile” menu.<\/span><\/p>\n

XV.
\n<\/span><\/span><\/b>Other provisions<\/span><\/b><\/p>\n

In matters not
\ncovered by these Terms of Use, the provisions of the Hungarian legislation in
\nforce, in particular, but not exclusively, Act V of 2013 on the Civil Code, Act
\nLXXVI of 1999 on copyright and Act CVIII of 2001 on certain issues of
\nelectronic commerce services and information society services, shall apply.<\/span><\/p>\n
